These Terms of Service ("Terms") govern your use of Ripple Studio's website and services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. About Us

Ripple Studio is a web design and development agency based in Malaysia and Pakistan, providing professional website design, e-commerce development, custom web applications, and digital services to businesses worldwide.

2. Services Offered

We provide:

Website design and development
E-commerce store development
Custom web applications
UI/UX design services
API development and integrations
Ongoing support and maintenance

3. Client Responsibilities

As a client, you agree to:

Provide accurate project information and requirements
Supply all necessary content, materials, and assets in a timely manner
Provide access to hosting, domain, and third-party services as needed
Respond promptly to requests for feedback and approvals
Pay invoices on or before the due date
Comply with all applicable laws and regulations

4. Intellectual Property Rights

Original Work

Upon full payment, you own all custom code and designs created specifically for your project. We retain the right to use the work as portfolio reference and case study (without sharing sensitive business information).

Third-Party Assets

You are responsible for ensuring you have proper licenses for any third-party content (images, fonts, plugins) you provide. We will not be liable for copyright infringement of client-provided materials.

Our Tools & Methods

We retain ownership of our development processes, tools, templates, and methodologies used to create your project.

5. Project Timeline & Delays

Project timelines are estimates based on the agreed-upon scope and your timely provision of content and feedback. Delays may occur due to:

Late client feedback or asset delivery
Scope changes or additional requirements
Third-party service issues (hosting, payment processors)
Technical challenges beyond our control

We will notify you of any significant delays and adjust timelines accordingly.

6. Payment Terms

Payment is due according to the project invoice schedule
Late payments may incur a 1.5% monthly interest charge
We reserve the right to suspend work if payment is overdue by more than 7 days
All prices are in USD unless otherwise specified
Invoices are non-refundable once work has begun (except per our Refund Policy)

7. Scope & Change Requests

The project scope is defined in the project proposal. Any changes, additions, or feature requests beyond the agreed scope require:

A written change request
Updated cost estimate
Your approval in writing
Adjusted timeline

8. Hosting & Domain

You are responsible for:

Purchasing and maintaining your domain registration
Arranging web hosting (we can recommend reliable providers)
Managing DNS records and SSL certificates
Paying hosting and domain renewal fees

We will assist with setup but do not own or control your hosting or domain.

9. Support & Maintenance

Post-Launch Support

We include 30 days of free support after launch for bug fixes, minor adjustments, and technical issues.

Ongoing Maintenance

After the initial support period, ongoing support and updates are available through monthly retainer packages (starting at $300/month).

10. Limitation of Liability

To the maximum extent permitted by law:

We are not liable for indirect, incidental, or consequential damages
Our total liability is limited to the amount you paid for the project
We are not liable for lost data, revenue, or business interruption
We are not liable for third-party services (hosting, payment processors, CDNs)

11. Disclaimer of Warranties

Our services are provided "as-is." We do not guarantee:

Specific business results or revenue
Uninterrupted website availability (100% uptime)
Protection from all security threats
Compatibility with all browsers or devices

12. Confidentiality

We maintain confidentiality of all client business information shared during our engagement. We will not disclose client information except:

As required by law
To trusted service providers under confidentiality agreements
With client's written permission

13. Termination

By You

You may terminate the engagement with 7 days written notice. You will pay for all work completed to date and retain rights to completed work.

By Us

We may terminate if:

Payment is overdue by more than 30 days
You breach these Terms significantly
You provide false or misleading information
We determine the project cannot be completed as specified

14. Use of Website

You agree not to:

Use our website for illegal purposes
Attempt to hack or gain unauthorized access
Scrape or automate access to our website
Send spam or harassment
Infringe on intellectual property rights

15. Dispute Resolution

If a dispute arises:

We will first attempt to resolve it directly with you
If unresolved, we may pursue mediation
If necessary, disputes will be governed by Malaysian law and subject to arbitration

16. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

Your use of the website or services in violation of these Terms
Content you provide that infringes on third-party rights
Your violation of applicable laws

17. Modifications to Terms

We may update these Terms at any time. Changes will be effective immediately upon posting. Your continued use of our services constitutes acceptance of the updated Terms.

18. Entire Agreement

These Terms, along with your project proposal and invoice, constitute the entire agreement between us. No verbal agreements or promises are binding.
